Terms of Service

These Terms of Service ("Terms") govern your use of the Conveyly pre-submission document validation service available at conveyly.ca (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Conveyly is a pre-submission document validation tool designed to assist Alberta conveyancing professionals in identifying potential errors in Transfer of Land and Mortgage packages before submission to the Alberta Land Titles Office. The Service is intended for use by qualified legal professionals only.
2. Not Legal Advice
The results produced by the Service are advisory in nature only. Conveyly is not a law firm and does not provide legal advice. Nothing produced by the Service constitutes legal advice or creates a solicitor-client relationship. All results should be reviewed by a qualified legal practitioner before relying on them. Conveyly makes no representation that the Service will identify all errors or deficiencies in any document.
3. Acceptable Use
You agree to use the Service only for its intended purpose of pre-submission document validation. You must not use the Service to upload documents you do not have authorization to process, attempt to circumvent or interfere with the Service's operation, resell or redistribute access to the Service without authorization, or use the Service for any unlawful purpose.
4. No Warranty
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. Conveyly does not warrant that the Service will be uninterrupted, error-free, or that results will be accurate, complete, or suitable for any particular purpose. Use of the Service is at your own risk.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Conveyly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to document rejections, filing delays, financial loss, or reliance on validation results. Conveyly's total liability to you for any claim arising out of or relating to the Service shall not exceed the amount paid by you to Conveyly in the twelve months preceding the claim.
6. Intellectual Property
All content, design, code, and features of the Service are the property of Conveyly and are protected by applicable intellectual property laws. You may not reproduce, copy, or distribute any part of the Service without prior written permission.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Modifications to the Service
Conveyly reserves the right to modify, suspend, or discontinue the Service at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
9. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.
