Terms of Service

These Terms of Service ("Terms") govern your use of the Conveyly pre-submission document screening service available at conveyly.ca (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Conveyly is a pre-submission document screening tool designed to assist Alberta conveyancing professionals in identifying potential errors in Transfer of Land and Mortgage packages before submission to the Alberta Land Titles Office. The Service is intended for use by qualified legal professionals and their authorized staff only.

The results produced by the Service are advisory in nature only. Conveyly is not a law firm and does not provide legal advice. Nothing produced by the Service constitutes legal advice or creates a solicitor-client relationship. All results should be reviewed by a qualified legal practitioner before relying on them. Conveyly makes no representation that the Service will identify all errors or deficiencies in any document.

You remain solely responsible for:

• reviewing all documents
• exercising professional judgment
• ensuring compliance with applicable laws and practice standards

Conveyly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

You must not:

• resell, sublicense, or distribute the Service
• reverse engineer or attempt to extract underlying code
• use the Service to create a competing product
• interfere with the operation or security of the Service
• upload documents you are not authorized to process

Use of the Service may require payment of subscription fees as specified at the time of purchase. Subscriptions renew automatically unless cancelled prior to renewal. You authorize Conveyly to charge your payment method on a recurring basis.

If payment fails:

• access may be suspended
• Conveyly may terminate your account upon continued non-payment

Conveyly may modify pricing with reasonable advance notice. Continued use after the effective date constitutes acceptance.

Unless required by law, all fees are non-refundable.

Conveyly will maintain commercially reasonable administrative, technical, and physical safeguards.

In the event of a security breach affecting user data, Conveyly will:

• take reasonable remedial steps
• notify affected users in accordance with applicable law

You may terminate your account at any time by discontinuing use and cancelling your subscription.

Conveyly may suspend or terminate your access if:

• you breach these Terms
• required by law
• necessary to protect the Service or users

Upon termination:

• your access to the Service will cease
• your license rights end
• certain provisions survive (including liability, IP, and data provisions)

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by law, Conveyly disclaims all warranties, including:

• accuracy or completeness of results
• fitness for purpose
• uninterrupted or error-free operation

Use of the Service is at your own risk.

To the fullest extent permitted by applicable law, Conveyly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to document rejections, filing delays, financial loss, or reliance on screening results. Conveyly's total liability to you for any claim arising out of or relating to the Service shall not exceed the amount paid by you to Conveyly in the twelve months preceding the claim.

You agree to indemnify and hold harmless Conveyly from any claims arising out of:

• your misuse of the Service
• your violation of applicable law
• your unauthorized or unlawful use of user data

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You must comply with all applicable privacy and data protection laws when uploading documents.

All content, design, code, and features of the Service are the property of Conveyly and are protected by applicable intellectual property laws. You may not reproduce, copy, or distribute any part of the Service without prior written permission.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Conveyly reserves the right to modify, suspend, or discontinue the Service at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.
